General Terms and Conditions – Atelier Verden BV

1. Definitions
Consumer: A natural person acting outside their trade or professional activities.
Business Customer: Any natural or legal person acting within the scope of their business or professional activities.
Customer: Refers to both Consumers and Business Customers.
Agreement: Any agreement between Atelier Verden BV and a Customer regarding the purchase and delivery of products via the Website.
Right of Withdrawal: The right of a Consumer to cancel the distance Agreement within the reflection period.

2. Applicability
These terms and conditions apply to every offer, order, and Agreement between Atelier Verden BV and a Customer within the EU. Deviations are only valid if agreed upon in writing. Any general terms and conditions of the Customer are explicitly rejected.
3. Formation of the Agreement
An Agreement is concluded when Atelier Verden BV confirms the order or commences its execution. All offers are non-binding and subject to change.
4. Prices and Payment
Prices for Consumers include VAT. Business Customers are shown prices excluding VAT unless stated otherwise. Payment must be made using the payment methods offered on the Website. For Business Customers, the payment term is 14 days from the invoice date, unless prepaid or agreed otherwise.
5. Delivery and Transfer of Ownership
Products are delivered to the address provided by the Customer within the EU, unless explicitly agreed otherwise. Delivery times are indicative only. No rights to compensation or cancellation arise from delays unless agreed in writing.
Risk of loss, theft, or damage transfers to the Customer upon delivery (for Consumers) or upon transfer to the carrier (for Business Customers).
All delivered products remain the property of Atelier Verden BV until full payment has been received. The Customer may not transfer or sell the products before ownership has transferred, except in the ordinary course of business, and must hand over proceeds to Atelier Verden upon request.
If the Customer fails to pay, Atelier Verden BV may reclaim unpaid goods. The Customer must cooperate, including granting access for retrieval. Products under retention of title must be stored carefully and visibly. In case of seizure or insolvency, the Customer must notify Atelier Verden BV immediately.
6. Right of Withdrawal and Returns (Consumers)
Consumers may cancel the Agreement within 14 days after receipt without stating a reason, by submitting a clear withdrawal statement using the standard form.
Consumers have another 14 days to return the product after submitting the withdrawal.
Return shipping is at the Consumer’s cost and risk. Trackable shipping is recommended.
Consumers must handle the product carefully during the reflection period. If used beyond allowed inspection and value is reduced, this will be deducted from the refund.
The right of withdrawal is excluded for custom-made, personal, unsealed hygiene-sensitive, or used/damaged products.
Refunds are made within 14 days of receiving the return or proof of shipment. Only standard delivery costs are refunded; return shipping and premium delivery costs are not.
7. Return Policy for Business Customers (B2B)
Business Customers are not entitled to the statutory right of withdrawal. Returns are only accepted if the product is demonstrably damaged, incomplete, or non-conforming, reported within five business days with supporting evidence.
Returns require prior written approval and must be in original condition, packaging, and received within the agreed timeframe. Shipping is at the Customer’s expense and risk. Atelier Verden accepts no liability for unreported or inadequately packaged returns.
8. Warranty and Conformity
Products are guaranteed to conform to the Agreement and applicable EU requirements.
A 24-month legal warranty applies to Consumers, except for wear or misuse.
Defects must be reported as soon as possible and within two months of discovery.
9. Liability
Atelier Verden is only liable for direct damages caused by intent or gross negligence.
Indirect damages such as loss of profit or data are excluded, unless required by law.
Liability is limited to the order amount or the insured sum.
10. Promotions and Discount Codes
Promotions are valid for the stated period and while supplies last.
Discount codes are not combinable and not redeemable for cash.
Misuse may lead to cancellation or account suspension.
11. Account Terms
A customer account is required to place orders.
Accounts are only permitted for EU-based Customers.
Abuse of the account or return process may lead to suspension. See the separate Account Terms for further details.
12. Privacy
Personal data is processed in accordance with Atelier Verden BV’s Privacy Policy and the General Data Protection Regulation (GDPR).
13. Intellectual Property Rights
All intellectual property rights related to Atelier Verden’s Website and communications belong to Atelier Verden BV or its licensors.
Customers and third parties may not use any content for commercial purposes without prior written permission.
The use of Atelier Verden’s brand names, logos, and materials is prohibited without express written consent.
Sharing content on social media is allowed with proper attribution, and in a way that does not harm Atelier Verden’s reputation. Influencers or promotional use requires prior approval.
In case of infringement, Atelier Verden may take legal action, including damage claims.
The availability of content does not imply a transfer or license of intellectual property rights.
14. Governing Law and Disputes
These terms are governed exclusively by Dutch law.
Disputes will be submitted to the competent court in the district where Atelier Verden BV is located, unless mandatory law dictates otherwise.
The applicability of the Vienna Sales Convention (CISG) is expressly excluded.
